1. Acceptance of Terms

By accessing or using SudsScheduler ("the Service"), operated by Palms AI, LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SudsScheduler is a scheduling, route optimization, and SMS confirmation platform designed for cleaning service businesses. The Service includes appointment management, team management, client management, invoicing, and related tools.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service; (d) copy, modify, or distribute any part of the Service without our written consent.

4a. SMS Use & Compliance

SMS appointment messages are sent on your behalf through SudsScheduler's shared 10DLC campaign (registered to Palms AI, LLC with The Campaign Registry). To preserve the integrity of that campaign for all subscribers, you agree that:

• You will only add client phone numbers to the Service after the client has completed the SudsScheduler-provided SMS opt-in form (a unique link is generated for your business). You will not import phone numbers obtained through any other method (verbal-only consent at intake, paper forms not approved by SudsScheduler, purchased lists, etc.) without our prior written approval.
• You will use SMS only for transactional appointment messages (confirmations, reminders, post-service follow-ups, add-on offers tied to a specific appointment). You will not send marketing, promotional, political, fundraising, or survey messages through the Service.
• If a client revokes consent through any channel outside SMS (a phone call to you, an email, an in-person request), you will mark them opted-out in SudsScheduler within one business day so the Service stops messaging them. STOP replies sent through SMS are honored automatically.
• You will retain your own records of how each client opted in (the SudsScheduler consent record is the primary record; you should not contradict it) and you authorize Palms AI to produce these records to mobile carriers or regulators on request.
• Violation of these terms may result in immediate suspension of SMS sending for your account, and in cases of carrier-level complaints, termination of your overall SudsScheduler subscription.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

6. Intellectual Property

The Service, including its design, code, features, and branding (including "SudsScheduler" and "PalmsAI"), are the intellectual property of Palms AI, LLC and are protected by copyright, trademark, and other intellectual property laws.

7. Subscription and Billing

During the beta period, the Service is provided free of charge. Future pricing and billing terms will be communicated before any charges apply. You will not be charged without your explicit consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Palms AI, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

1. Information We Collect

We collect information you provide directly: account information (name, email, password), business information (business name, phone, address), and operational data (client lists, appointments, team members, invoices).

2. How We Use Your Information

We use your information to: (a) provide and maintain the Service; (b) process appointments and scheduling; (c) send SMS confirmations on your behalf; (d) improve the Service; (e) communicate with you about the Service.

3. Data Storage and Security

Your data is stored securely using industry-standard encryption and access controls. We use Supabase for database hosting with row-level security to ensure your business data is isolated from other users.

4. Data Sharing

We do not sell your data. We may share data with: (a) service providers who help us operate the Service (e.g., Supabase, Vercel, Mapbox, Telnyx); (b) as required by law or legal process.

5. Your Client Data

Client information you enter (names, addresses, phone numbers) is your business data. You are responsible for ensuring you have appropriate consent to store and use your clients' information. We process this data only to provide the Service to you.

6. SMS Communications

When SMS features are enabled, SudsScheduler sends appointment confirmation and reminder text messages to your clients on your behalf via our SMS provider (Telnyx). Recipients can opt out at any time by replying STOP and can request help by replying HELP. Message frequency varies by appointment activity (typically 1–3 messages per appointment). Message and data rates may apply. Mobile phone numbers and SMS opt-in consent are used solely to deliver these appointment messages and are never sold or shared with third parties for their own marketing. You, as the business, are responsible for obtaining and maintaining recipient consent for the numbers you add.

7. Data Retention

We retain your data for as long as your account is active. Upon account deletion, your data will be permanently removed within 30 days.

8. Your Rights

You have the right to: (a) access your data; (b) correct inaccurate data; (c) export your data (CSV export is available); (d) delete your account and data; (e) opt out of non-essential communications.

9. Cookies

We use essential cookies for authentication and session management. We do not use tracking cookies or third-party advertising cookies.

10. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of any material changes via email or in-app notification.
